Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Learnard ("Learnard", "we", "us"), including our website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Learnard provides tools to upload study materials and generate AI-assisted outputs such as notes, flashcards, quizzes, podcasts, and chat responses grounded in your content. We improve and change features over time. We do not guarantee uninterrupted or error-free operation.

3. Accounts

You must provide accurate registration information and protect your credentials. You are responsible for activity under your account. Notify us promptly at hello@learnard.app if you suspect unauthorized access.

4. Acceptable use

You agree not to:

• Violate applicable laws or third-party rights.
• Upload unlawful content, malware, or materials you do not have rights to use.
• Probe, scrape, overload, or disrupt the Service or other users’ access.
• Reverse engineer or attempt to extract our models or source code except where permitted by law.
• Use the Service to build a competing product or train generalized AI models on our outputs without our consent.

5. Your content

You retain ownership of materials you submit ("Your Content"). You grant Learnard a worldwide license to host, process, and display Your Content solely to provide and improve the Service for you. You represent that you have the rights needed for us to process Your Content under these Terms.

6. AI outputs

Outputs may be inaccurate or incomplete. They are study aids, not professional advice. You should verify important information. Do not rely on outputs as sole grounds for medical, legal, financial, or safety-critical decisions.

7. Subscriptions and fees

Paid plans are billed through our payment processor. Fees are stated at checkout and may change for new purchases with notice as required. Taxes may apply. Unless stated otherwise, subscriptions renew until canceled using the billing controls we provide.

8. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or we must do so for legal or operational reasons. Provisions that by nature should survive (including ownership, disclaimers, limits of liability, and dispute terms) survive termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEARNARD AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED USD ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.

11. Indemnity

You will defend and indemnify Learnard against claims, damages, and expenses arising from Your Content or your misuse of the Service, except to the extent caused by our willful misconduct.

12. Changes

We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes may require additional notice where required by law. Continued use after changes become effective constitutes acceptance.
